WM Completes $7.2 Billion Acquisition of Stericycle, Expanding into Medical Waste and Secure Information Destruction Sectors
WM (NYSE: WM), North America’s largest waste management company, has successfully completed its acquisition of Stericycle, Inc. (NASDAQ: SRCL) for a purchase price of $62.00 per share in cash, representing a total enterprise value of approximately $7.2 billion. As of today, Stericycle stock will no longer be traded on the NASDAQ, marking a significant new chapter for the medical waste disposal and secure information destruction company as it becomes part of WM’s comprehensive waste and environmental solutions portfolio.
In an official statement, Jim Fish, WM’s President and CEO, welcomed Stericycle’s team into the WM family, underscoring the strategic importance of the acquisition: “The completion of this acquisition advances our growth strategy, builds on our sustainability initiatives, and aligns with our long-term financial goals. This acquisition provides a complementary business platform in medical waste—a sector with attractive near- and long-term growth dynamics—and in secure information destruction services to further our leading suite of comprehensive waste and environmental solutions.”
With this acquisition, WM has also launched its new WM Healthcare Solutions division, which will be led by Rafa Carrasco, WM’s Senior Vice President of Enterprise Strategy. Carrasco will oversee Stericycle’s regulated medical waste and secure information destruction operations under the WM brand, with an eye toward achieving customer-centric growth and operational efficiencies. According to WM, the acquisition is expected to yield more than $125 million in run-rate cost synergies, largely by leveraging WM’s existing expertise in logistics, technology-driven cost optimization, and waste disposal.
Expanding into Medical Waste and Information Security
The acquisition of Stericycle marks WM’s strategic entry into the medical waste and secure information destruction sectors, both of which are experiencing increased demand as regulatory standards and corporate data protection needs continue to rise. Stericycle’s regulated medical waste services will allow WM to deliver specialized disposal solutions for healthcare providers, which require compliance with stringent environmental and safety regulations. The secure information destruction segment will help WM expand its footprint in data protection services, a growing area of importance for industries handling sensitive information.
Rafa Carrasco noted the strategic impact of the acquisition, saying, “With today’s announcement, WM is well-positioned to win in the growing medical waste industry and deliver tailored and effective solutions in secure information destruction that further our sustainability leadership. We look forward to delivering on the compelling strategic and financial benefits of the combined business while protecting the health, safety, and well-being of the communities we serve.”
Building on WM’s History of Strategic Acquisitions
This acquisition is the latest in a series of moves that WM has made to expand its capabilities beyond traditional waste disposal. In 2020, WM acquired Advanced Disposal Services in a $4.6 billion transaction, further solidifying its position as a leader in waste management and recycling in North America. By expanding into adjacent sectors, WM aims to provide comprehensive waste management solutions that address the evolving needs of industries beyond municipal and commercial waste.
Positioning WM for Future Growth
By incorporating Stericycle’s specialized services, WM will be able to tap into markets with high growth potential and stable, recurring revenue. The integration of Stericycle’s operations is expected to enhance WM’s overall operating EBITDA and cash flows, providing a solid financial foundation for continued expansion and innovation. Additionally, WM’s sustainability initiatives are set to benefit from the addition of Stericycle, particularly as secure destruction services align with increasing corporate responsibility for data security and environmental impact reduction.
WM’s acquisition of Stericycle also signals a forward-looking approach to waste management, in which healthcare solutions and data destruction are seen as essential components of a modern waste management portfolio. As WM integrates Stericycle’s operations, the combined capabilities are expected to enhance service quality and reduce costs across a broad range of industries, including healthcare, corporate, and governmental sectors.
With the acquisition now finalized, WM is positioned to become a dominant player in the regulated medical waste and information destruction markets, setting the stage for long-term growth and reinforcing its commitment to innovation, environmental responsibility, and customer service in waste and resource management.
